Terms of Service
These Terms of Service ("Terms") govern your use of the services provided by RY&L Employment Agency ("Company," "we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. Services Description
RY&L provides employment staffing services including: Temporary staffing and day labor placement; Permanent placement and direct hire services; Contract-to-hire arrangements; Workforce consulting and HR support. We act as an intermediary between job seekers and employers. We are not a joint employer and do not guarantee employment outcomes.
2. Eligibility
To use our services, you must: Be at least 18 years of age; Be legally authorized to work in the United States; Provide accurate and complete information; Not have been previously terminated from our services for cause.
3. Job Seeker Responsibilities
As a job seeker using our services, you agree to: Provide truthful, accurate, and complete information about your identity, qualifications, work history, and references; Notify us promptly of any changes to your contact information or availability; Appear for scheduled interviews and work assignments on time; Comply with all workplace policies of client employers; Not misrepresent your skills, experience, or qualifications; Maintain confidentiality of proprietary information learned during assignments; Return all client property upon completion of assignments.
4. Employer/Client Responsibilities
Employers using our services agree to: Provide accurate job descriptions and requirements; Maintain a safe working environment in compliance with OSHA standards; Comply with all applicable employment laws including anti-discrimination, wage and hour, and workers' compensation laws; Not solicit or hire our placed workers directly without paying applicable fees; Pay invoices within agreed-upon terms; Notify us immediately of any workplace incidents involving our workers.
5. No Employment Guarantee
WE DO NOT GUARANTEE EMPLOYMENT OR SPECIFIC JOB PLACEMENTS. Our services are designed to connect job seekers with potential employers, but employment decisions are ultimately made by the hiring companies. We make no representations or warranties regarding: The availability of positions matching your qualifications; The duration of any employment or assignment; Specific wages, benefits, or working conditions; The suitability of any candidate for a particular position.
6. Fees and Payment
For Job Seekers: Our services are provided at no cost to job seekers. We are compensated by employers. For Employers: Fees are outlined in separate service agreements. Standard payment terms are Net 15 unless otherwise agreed. Late payments may incur interest charges and collection costs.
7. Background Checks and Drug Testing
By using our services, you consent to: Pre-employment background checks as permitted by law; Drug and alcohol testing where required by client employers or law; Verification of employment history, education, and professional credentials; Reference checks with previous employers. You will be notified and provide written authorization before any background investigation.
8. Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of RY&L or its licensors and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our written permission.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RY&L SHALL NOT BE LIABLE FOR: Any indirect, incidental, special, consequential, or punitive damages; Lost profits, data, or business opportunities; Damages arising from employment decisions made by third parties; Actions or omissions of client employers or placed workers; Workplace injuries or incidents (covered by workers' compensation where applicable). OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless RY&L, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from: Your breach of these Terms; Your violation of any law or third-party rights; False or misleading information you provided; Your conduct during employment assignments.
11. Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through: Informal negotiation (30 days); Mediation in Miami-Dade County, Florida; Binding arbitration under the rules of the American Arbitration Association. Class action lawsuits and class-wide arbitration are waived. This provision does not apply to claims for workers' compensation benefits.
12. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in Miami-Dade County, Florida.
13. Termination
We may terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination shall remain in effect.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
15. Entire Agreement
These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and RY&L regarding our services. Any prior agreements or representations are superseded.
16. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be posted on our website with an updated effective date. Your continued use of our services after changes constitutes acceptance of the new Terms.
